Flux Payments Terms and Conditions
These Terms and Conditions ("Agreement") govern the use of services provided by Flux Payments, including but not limited to payment processing, merchant accounts, and other services (collectively referred to as the "Services"). By accessing or using our Services, you ("User," "Merchant," "Customer") agree to be bound by this Agreement.
If you do not agree to these Terms and Conditions, please do not use the Services provided by Flux Payments.
1. Definitions
For the purposes of this Agreement, the following terms have the meanings set forth below:
- "Flux Payments": Refers to the payment processing company, Flux Payments, which provides payment solutions to merchants and consumers.
- "Services": All payment processing, merchant account services, and associated tools or features provided by Flux Payments.
- "Merchant": An individual or entity that uses Flux Payments' Services to process payments for goods or services.
- "Customer": An individual or entity who purchases products or services from a Merchant using Flux Payments' Services.
- "User": Any individual or entity that accesses or uses Flux Payments' platform or Services, whether as a Merchant, Customer, or otherwise.
- "Account": A user account created by the Merchant or Customer on Flux Payments' platform.
2. Use of the Services
- Eligibility: You must be at least 18 years old and legally capable of entering into a binding contract to use our Services.
- Account Registration: To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update it as necessary.
- Responsibility for Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify Flux Payments immediately if you suspect unauthorized access or any security breach.
3. Payment Processing
- Transaction Fees: Flux Payments charges transaction fees for processing payments. The specific fees and pricing will be outlined in your agreement with Flux Payments and may vary depending on the Services used.
- Payment Authorization: By using Flux Payments to process payments, you authorize Flux Payments to charge the customer’s payment method for the goods or services provided.
- Refunds and Disputes: Refunds, chargebacks, or transaction disputes are subject to the Merchant's refund policy. Flux Payments will facilitate the transaction but is not responsible for handling disputes between Merchants and Customers.
4. Merchant Obligations
- Compliance with Laws: Merchants must comply with all applicable laws, regulations, and industry standards, including but not limited to consumer protection laws, anti-money laundering laws, and payment card network regulations.
- Acceptable Use: Merchants agree to only use the Services for lawful purposes. You shall not use the Services for illegal, fraudulent, or malicious activities, including but not limited to selling prohibited or counterfeit goods, processing illegal transactions, or engaging in deceptive practices.
- Refund Policy: Merchants must maintain a clear and accessible refund policy for Customers, which complies with applicable laws and ensures that Customers are informed of their rights to refunds or cancellations.
5. Customer Rights
- Payment Information: By using the Services to make a purchase, Customers provide payment information, which is processed by Flux Payments. Flux Payments does not store sensitive payment information (e.g., credit card numbers) on our servers.
- Transaction Disputes: If a Customer has an issue with a purchase, they must first contact the Merchant for resolution. If the issue cannot be resolved directly, the Customer may initiate a chargeback through their bank or card issuer.
6. Fees and Payment Terms
- Transaction Fees: Fees for payment processing are subject to the terms of your agreement with Flux Payments and may be subject to change. Flux Payments reserves the right to change its fees with notice to the Merchant.
- Payment Terms: All payments due to Flux Payments will be processed in accordance with the terms agreed upon during account registration. Any outstanding balances may result in the suspension or termination of the Services.
7. Termination
- Termination by Flux Payments: Flux Payments reserves the right to suspend or terminate your account if you violate these Terms and Conditions, engage in fraudulent or unlawful activities, or fail to pay any fees owed.
- Termination by You: You may cancel your account at any time by providing notice to Flux Payments. However, any fees accrued up to the date of termination will remain due and payable.
8. Privacy and Data Protection
- Data Collection: By using Flux Payments' Services, you agree that we may collect and process your personal data in accordance with our Privacy Policy.
- Data Security: Flux Payments takes appropriate measures to protect your personal and payment information. However, you are responsible for securing your account and payment methods.
9. Limitation of Liability
- No Liability for Merchant Transactions: Flux Payments is not responsible for the quality, delivery, or legality of the goods or services sold by Merchants. All disputes between Customers and Merchants should be handled directly between the parties.
- Limitation of Liability: Flux Payments’ liability to you is limited to the total amount of fees paid by you to Flux Payments in the six (6) months preceding any claim.
10. Indemnity
You agree to indemnify, defend, and hold harmless Flux Payments, its affiliates, officers, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our Services, including any violations of this Agreement, fraud, unauthorized transactions, or breach of any applicable law or regulation.
11. Dispute Resolution and Governing Law
- Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in [jurisdiction]. Arbitration shall be conducted on an individual basis, and no class action or class-wide arbitration shall be permitted.

- Entire Agreement: This Agreement constitutes the entire understanding between you and Flux Payments concerning the use of the Services and supersedes all prior agreements.
